Company liquidation in the UAE. Closed properly, not just abandoned.
Walking away from a UAE company doesn't close it. Fines keep building, visas stay open and your name stays on the file. Your account manager takes the liquidation from shareholder resolution to cancelled license: liquidator, clearances, FTA deregistration and every authority in between.

An abandoned company keeps costing you
An expired license doesn't end your obligations. Late renewal fines keep accruing, VAT and corporate tax returns stay due, open visas keep the company liable, and unresolved files can lead to travel bans or block you from setting up again. A proper liquidation closes every one of these, in the right order.
Not sure where your company stands?
Get a free liquidation review. Your account manager checks open visas, fines, tax filings and bank status, and tells you exactly what it will take to close.
From resolution to cancelled license, handled for you
The route depends on where your company is licensed. The clearances apply to both.
Mainland company liquidation
For LLCs, branches and establishments licensed by DET Dubai, ADDED Abu Dhabi or other emirates' economic departments.
Includes a creditor notice periodMainland liquidation is a formal process: shareholders resolve to dissolve, a registered liquidator is appointed, and a public notice gives creditors time to come forward. Your account manager runs each stage, coordinates the liquidator, and keeps the clearances moving in parallel so the closing date isn't held up.
What we handle
- Shareholder resolution to dissolve and liquidate
- Notarisation and filing with the economic department
- Appointment of a registered liquidator
- Public notice to creditors
- Final liquidation report
- License cancellation certificate
Documents you upload
- Trade license, MOA and amendments
- Passports and Emirates IDs of all shareholders
- Latest financial statements or management accounts
- Bank statements and outstanding liabilities list

Free zone company liquidation
For companies in DMCC, DIFC, JAFZA, IFZA, RAKEZ, SHAMS, SAIF Zone and every other UAE free zone.
Each free zone has its own checklistFree zone liquidation runs through the zone authority, which issues its own notices and asks for NOCs from its departments before it will deregister the company. Your account manager knows your zone's process, collects every NOC, settles outstanding fees and lease obligations, and gets the deregistration certificate issued.
What we handle
- Liquidation or deregistration application to the zone
- Board or shareholder resolution
- Liquidator appointment where the zone requires it
- Department NOCs: finance, leasing, immigration
- Office or flexi-desk lease termination
- Deregistration certificate

What we handle
- Employee and investor visa cancellations
- Labour file and establishment card closure
- Final VAT return and VAT deregistration
- Final corporate tax return and CT deregistration
- Customs, utilities and Ejari closure

Your account manager will tell you which route fits your situation before anything is filed.
Expired or abandoned license
Already lapsed? We calculate fines, renew if the authority requires it before closure, and then liquidate.
Shareholders outside the UAE
Liquidation by power of attorney, so you don't have to fly back for each step.
Branch closure
Closing a UAE branch of a foreign or local company, with parent company documents arranged.

Pause, don't close
If you may restart, we explain what keeping the company compliant but inactive would involve.
Records after closure

Shareholders pass a resolution to dissolve, a liquidator is appointed where required, creditors are notified, and every authority is cleared: visas, labour file, VAT, corporate tax, customs and utilities. Once all clearances are in, the licensing authority cancels the license.
How long does company liquidation take in the UAE?
It depends on the jurisdiction and how much is open. Mainland liquidation includes a creditor notice period, and clearances such as tax deregistration can take time. A company with no employees, no debts and up-to-date filings closes much faster. Your account manager gives you a realistic timeline after the free review.
What is the difference between mainland and free zone liquidation?
Mainland liquidation runs through the emirate's economic department and normally needs a registered liquidator and a public creditor notice. Free zone liquidation runs through the zone authority, which has its own process and asks for NOCs from its own departments.
What happens if I just leave my company without closing it?
The company stays registered. License fines keep accruing, VAT and corporate tax returns remain due, and open visas keep the company liable. Unresolved companies can lead to bans that affect shareholders and managers in future.
Do I need to deregister for VAT and corporate tax?
Yes. Apply for VAT deregistration within 20 business days of ceasing taxable supplies, and for corporate tax deregistration within three months of the business ceasing. Final returns must be filed and any tax paid before the FTA approves deregistration.
Can I liquidate my company if I am outside the UAE?
Usually, yes. Most steps can be completed through a power of attorney, so shareholders don't need to fly back for each one. Your account manager tells you which documents need to be signed and attested.
Can I liquidate a company with an expired license?
Yes, though some authorities require the license to be renewed or the fines settled before liquidation can start. We check this in the free review and include it in your plan.
Do all employee visas need to be cancelled first?
Yes. All employee and investor visas, and the establishment or immigration card, must be cancelled before the license can be closed. We handle the cancellations as part of the liquidation.
